These Terms & Conditions (“Terms”) govern your use of the website www.uvia.com.cn (the “Website”) and any orders placed through the Website, operated by UOVY (Hong Kong) (“UOVY”, “we”, “us”, or “our”), with its registered address at Unit 9, 1st Floor, The Cloud, No. 111 Tung Chau Street, Tai Kok Tsui, Hong Kong.

By accessing the Website or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use the Website or place an order.

By accessing, browsing, or using the Website, and/or by placing an order through the Website's online checkout, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, together with our Privacy Policy and any other policies referenced herein.
If you are using the Website on behalf of a company, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
We may revise these Terms at any time. The revised Terms will take effect when posted on the Website. Your continued use of the Website or placement of any order after changes are posted constitutes your acceptance of the revised Terms. We recommend that you review these Terms periodically.
About Us and Our Products
UOVY is a manufacturer and supplier of professional aesthetic equipment, including but not limited to laser hair removal devices, picosecond lasers, IPL/SHR devices, EMS muscle sculpting devices, cryolipolysis devices, radiofrequency devices, and related accessories and consumables.
Our products are professional-grade equipment designed for use by licensed and appropriately trained professionals in clinics, salons, spas, and medical-aesthetic facilities. Our products are not intended for home self-diagnosis or unlicensed personal use unless expressly stated on the relevant product page.
OEM/ODM services are available. Orders for customized, private-label, or otherwise non-standard products are subject to separate terms agreed in writing between the parties, and such custom orders are not eligible for standard returns (see Section 9).
Use of the Website
You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party.
You must not:
use the Website in any way that breaches any applicable local, national, or international law or regulation;
attempt to gain unauthorized access to any part of the Website, the server on which the Website is stored, or any system connected to it;
interfere with or disrupt the Website, including by transmitting malware, viruses, or other harmful code;
scrape, copy, or reproduce any content from the Website for commercial purposes without our prior written consent;
impersonate any person or entity, or misrepresent your affiliation with any person or entity.
We reserve the right to restrict, suspend, or terminate your access to the Website at any time, with or without notice, where we reasonably consider such action necessary.
Accounts and Registration
To place an order through the online checkout, you may be required to create an account and provide accurate, current, and complete information, including your name, email address, shipping address, and contact details.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
We may, at our discretion, refuse to open an account, suspend an account, or cancel an order where we reasonably suspect fraud, misrepresentation, or a breach of these Terms.
Personal data provided through the account and checkout process is handled in accordance with our Privacy Policy.
Orders and Online Checkout
All orders placed through the Website are offers to purchase and are subject to our acceptance. We may accept or decline any order in our sole discretion, including where the product is unavailable, where there is an error in pricing or product information, or where we suspect the order is not a bona fide transaction.
An order is not confirmed until we send you an order confirmation by email or through the Website, and the contract for sale is formed at that point, subject to these Terms.
Product images, specifications, descriptions, and prices displayed on the Website are provided for information purposes and are subject to change without notice. We take reasonable care to ensure that information is accurate, but we do not warrant that it is error-free.
You are responsible for ensuring that the products you order are permitted for import and use in your jurisdiction. You are solely responsible for complying with any applicable import, export, customs, licensing, and regulatory requirements in your country, including any requirements relating to medical or aesthetic devices.
Pricing and Payment
All prices are displayed in US Dollars (USD) unless otherwise stated, and are exclusive of applicable taxes, customs duties, and shipping charges unless expressly stated otherwise.
We may revise prices at any time. The price applicable to an order is the price displayed at the time the order is placed, subject to any pricing errors being corrected.
Payment for orders placed through the online checkout must be made using the payment methods offered on the Website at the time of purchase. By submitting payment details, you represent that you are authorized to use the payment method provided.
We take reasonable measures to protect payment information; however, to the fullest extent permitted by law, we are not liable for any unauthorized use of payment information arising from events outside our reasonable control.
All amounts due are payable in full without set-off or deduction unless otherwise agreed in writing. Where applicable, taxes (such as VAT, GST, or sales tax) may be added at the prevailing rate.
Shipping and Delivery
We ship to destinations worldwide using third-party carriers. Delivery times are estimates only and are not guaranteed unless expressly agreed in writing.
Title to the products and risk of loss pass to you upon delivery of the products to the carrier (or, where applicable, upon your receipt of the products), whichever is stated in the order confirmation.
You are responsible for all shipping, handling, customs duties, import taxes, and other charges associated with the delivery of products to your jurisdiction, unless otherwise expressly stated on the Website or in the order confirmation.
If delivery is refused or cannot be completed because of incorrect information provided by you, we may charge you for the costs of storage, return shipping, and re-delivery.
Inspection and Risk
You should inspect all products promptly upon delivery. If products arrive damaged, incorrect, or incomplete, you must notify us within [7] days of delivery with supporting photographs and evidence.
To the fullest extent permitted by law, any claim for damage, shortage, or non-conformity not notified within the period set out in Section 8.1 shall be deemed waived.
Returns, Refunds, and Exchanges
Standard products (not customized): Subject to the conditions in this Section 9, you may return a standard product within [30] days of delivery for a refund or exchange if the product is unused, in its original packaging, and in resalable condition.
To initiate a return, you must contact us at the contact details in Section 20 to obtain a return authorization (RA) number. Returns without a valid RA number may be refused.
You are responsible for the cost and risk of return shipping unless the return is due to our error or a defective product covered by warranty.
A restocking fee of up to [15]% of the product price may apply to returns that are not due to our error.
Refunds will be issued to the original payment method within [14] days of our receipt and inspection of the returned product.
Customized / OEM / ODM orders: Orders for customized, private-label, or specially manufactured products are non-refundable and non-returnable except for manufacturing defects, as such products cannot be resold. Once production of a custom order has commenced, the order may not be cancelled or modified except with our written consent.
The following are not eligible for return: products that have been installed, used, modified, or damaged by the buyer; products missing serial numbers or with altered identification; consumables and accessories; and clearance or final-sale items.
Warranty
Subject to this Section 10, UOVY provides a limited warranty that new products are free from defects in materials and workmanship for a period of [12] months from the date of delivery (the “Warranty Period”).
The warranty does not cover: (a) damage caused by misuse, accident, negligence, unauthorized repair or modification, or failure to follow operating instructions; (b) consumable parts, accessories, and normal wear and tear; (c) products used outside their intended professional applications; or (d) damage caused during shipping after delivery to the carrier.
During the Warranty Period, our sole obligation (and your sole remedy) is, at our option, to repair or replace the defective product or to refund the purchase price, subject to the product being returned to us in accordance with our instructions.
To the fullest extent permitted by law, this warranty is exclusive and in lieu of all other warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability and fitness for a particular purpose.
OEM/ODM and Custom Manufacturing Services
Where you engage UOVY for OEM/ODM or private-label manufacturing services, the scope, specifications, pricing, payment terms, intellectual property arrangements, and delivery schedule shall be set out in a separate written agreement between the parties.
In the absence of a separate written agreement, the relevant provisions of these Terms shall apply to the extent not inconsistent with the services provided.
You are responsible for ensuring that any designs, logos, specifications, or content you provide to us for customization do not infringe the intellectual property rights of any third party, and you agree to indemnify us against any claims arising from such infringement.
Intellectual Property
All content on the Website, including but not limited to text, graphics, logos, images, product designs, software, and the “UOVY” name and marks, is the property of UOVY or its licensors and is protected by applicable intellectual property laws.
You may not use, reproduce, modify, distribute, display, or create derivative works of any Website content without our prior written consent.
Limitation of Liability
To the fullest extent permitted by applicable law:
UOVY shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, arising out of or in connection with the Website or any order, even if advised of the possibility of such damages; and
the aggregate liability of UOVY for all claims arising out of or in connection with the Website or any order shall not exceed the amount actually paid by you for the relevant product, or USD [100], whichever is greater.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law.
You acknowledge that our products are professional-use equipment and that results may vary depending on operator skill, product configuration, and individual circumstances. We do not warrant specific treatment outcomes.
Indemnification
You agree to indemnify, defend, and hold harmless UOVY and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Website; (b) your breach of these Terms; (c) your violation of any applicable law or regulation; or (d) your use, importation, or resale of our products.
Privacy and Data Protection
We collect and process personal data (including your name, contact details, and payment-related information) in connection with your use of the Website, account creation, and order placement. This data is processed in accordance with our Privacy Policy, which forms part of these Terms.
By using the Website and placing orders, you consent to the collection and processing of your personal data as described in our Privacy Policy.
Third-Party Links
The Website may contain links to third-party websites or services that are not owned or controlled by UOVY. We are not responsible for the content, policies, or practices of any third-party websites, and your use of such websites is at your own risk.
Termination

Provisions of these Terms that by their nature should survive termination — including Sections 12 (Intellectual Property), 13 (Limitation of Liability), 14 (Indemnification), and 19 (Governing Law and Dispute Resolution) — shall survive any termination.

We reserve the right to update, modify, or replace these Terms at any time. The most current version will always be posted on this page, and the “Last updated” date at the top will be revised accordingly.
It is your responsibility to check these Terms periodically for changes. Continued use of the Website or placement of an order after changes are posted constitutes acceptance of the revised Terms.
Governing Law and Dispute Resolution
Governing Law. These Terms, and any contract formed under them (including any order), shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region of the People's Republic of China, without regard to its conflict-of-law principles.
Dispute Resolution. Any dispute, controversy, claim, or difference of any kind whatsoever arising out of or in connection with these Terms or any order shall be subject to the non-exclusive jurisdiction of the courts of the Hong Kong Special Administrative Region. The parties shall first attempt in good faith to resolve any dispute through friendly negotiation for a period of [30] days before commencing any legal proceedings.
Consumer Protection. If you are a consumer purchasing products for personal use, nothing in these Terms limits or excludes any mandatory rights you have under the consumer protection laws of your country of residence, and the mandatory provisions of those laws shall prevail to the extent of any conflict with these Terms.
United Nations Convention. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to any contract formed under these Terms.
